Terms & Conditions

Please read these Terms and Conditions (”Terms”) carefully before using any of the services offered by BBF LLC, dba BASH Boxing (“us”, “we”, or ”our”) including, without limitation, exercise classes at any of our studios, outdoor exercise classes and events, virtual on-demand classes, and live streamed classes (“BASH Services”). For the avoidance of doubt, these Terms apply to any classes or events taking place at any of our studios, including but not limited to our studios located at 1550 Wilson Boulevard, Suite 102, Arlington, VA, 700 N Randolph St. suite 195, Arlington, VA, 2905 District Ave, STE 195, Fairfax, VA. This Agreement sets forth the legally binding terms and conditions for your use of the BASH Services. By using any of the BASH Services, you agree to be bound by these Terms and any other rules or terms that are made available to you in connection with the BASH Services, each as amended from time to time. You further agree that these Terms apply to all uses of the BASH Services, both prospectively and retroactively. These Terms govern your use of the BASH Services. You are only authorized to use the BASH Services (regardless of whether your access or use is an intentional act or an accident) if you agree to abide by all applicable laws and these Terms. Please read these Terms carefully. They contain very important information about your rights and obligations, as well as limitations and exclusions that may apply to you if you use the BASH Services. If you do not agree with these Terms, do not use or otherwise discontinue use of all BASH Services immediately. If you wish to become a member, you must read these Terms and indicate your acceptance during the registration process.

1. LIMITATION OF LIABILITY AND ASSUMPTION OF RISK
Assumption of Risk. By using any BASH Boxing services, including but not limited to attending classes, events, activities, programs, and by using our studio facilities, equipment, or the website (collectively, the “BASH Services”), you acknowledge and agree on behalf of yourself, your heirs, personal representatives, and assigns that participation in BASH Services involves strenuous physical activity and inherent risks. You voluntarily assume all risks associated with participation, including the risk of serious bodily injury, abnormal blood pressure, fainting, heart attack, or death. You acknowledge that BASH Boxing recommends consulting a physician prior to beginning any exercise program and that you have had the opportunity to seek medical advice before participating.
Release and Waiver. To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue BASH Boxing, LLC, its affiliates, and each of their respective owners, officers, directors, managers, employees, instructors, agents, representatives, franchisees, licensors, licensees, service providers, successors and assigns (collectively, the “BASH Boxing Parties”) from any and all liability, claims, demands, causes of action, losses, costs, or expenses (including attorneys’ fees) arising out of or related to your participation in or use of the BASH Services, whether caused by the negligence of the BASH Boxing Parties or otherwise, except to the extent such release is prohibited by applicable law.
Indemnification. You agree to indemnify, defend, and hold harmless the BASH Boxing Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or resulting from (a) your negligent, reckless, or intentional acts or omissions while using the BASH Services, (b) any breach by you of these Terms, or (c) any User Content you submit or cause to be submitted.
Minors. Persons under eighteen (18) years of age are generally not permitted to participate in BASH Services. Notwithstanding the foregoing, BASH Boxing may, in its discretion and subject to applicable law and studio policies, permit limited participation as follows: minors aged twelve (12) through fifteen (15) may participate only when accompanied in person by a parent or legal guardian; minors aged sixteen (16) and seventeen (17) may participate only with the prior written consent of a parent or legal guardian. Use of the Website by minors is governed by these Terms and by applicable law and privacy policies; parents and guardians are responsible for supervising minors’ use of the Website and the Services.
Limitation of Liability Cap and General Disclaimer
Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE BASH BOXING PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF USE, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE BASH SERVICES, OR ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF THE BASH BOXING PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate Cap. EXCEPT WHERE PROHIBITED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE BASH BOXING PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR THE BASH SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
Jurisdictional Exceptions. Some jurisdictions do not permit the exclusion or limitation of certain damages or the waiver of certain rights. If any portion of the foregoing limitations or exclusions is unenforceable under applicable law, that portion shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Assumption of Risk and Release of Liability. By signing below, you acknowledge that participation in BASH classes involves physical activity and assume the risk of ordinary negligence. You release BBF LLC and its affiliates from liability for injuries arising from ordinary negligence. This release does not apply to claims of gross negligence, willful misconduct, or violations of law. You confirm you have read and understood this release and have had the opportunity to consult a physician

2. MEMBERSHIPS
You may find a description of our membership offerings (“Memberships”) on the Site. All Memberships are subject to BASH Boxing’s standard membership policies and the terms of any applicable membership agreement(s) with your designated studio(s). You may purchase a Membership through the Site by paying the applicable membership fee in advance on a monthly basis or on another billing interval disclosed to you prior to purchase (each, an “Interval”).
Upon processing of your initial Membership payment (the “Membership Start Date”), your Membership will commence and will remain active for an initial period of one (1) Interval (the “Initial Membership Period”). YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW FOR SUCCESSIVE ONE (1) INTERVAL PERIODS (E.G., MONTH‑TO‑MONTH) (EACH, A “RENEWAL MEMBERSHIP PERIOD”). AT THE START OF EACH INTERVAL, WE WILL AUTOMATICALLY CHARGE THE MEMBERSHIP FEE TO THE PAYMENT METHOD YOU HAVE PROVIDED, UNTIL YOUR MEMBERSHIP IS CANCELLED OR TERMINATED.
You may cancel your Membership at any time during the Initial Membership Period or any Renewal Membership Period; however, all Membership fees are non-refundable, and you will retain access to your Membership through the end of the then-current Interval. To cancel your Membership, you may (i) visit your account page on the Site, (ii) review BASH Boxing’s standard membership policies or your applicable membership agreement(s), or (iii) contact your studio or email us at [email protected].

Membership fees will be charged at the rate in effect at the time of purchase (plus applicable taxes) at the beginning of each billing Interval. You are solely responsible for ensuring that your billing and payment information remains accurate and up to date. If your payment method cannot be charged for any reason (including expiration or insufficient funds) and you have not cancelled your Membership, you remain responsible for all outstanding amounts. We may attempt to process the charge after you update your payment information, which may alter the start date of your next billing Interval and the date on which you are charged. We also reserve the right to cancel your Membership if we are unable to successfully process payment. Membership prices and terms may change at any time. The prices and terms in effect as of your Membership Start Date or the date of your most recent renewal (as applicable) will remain in effect for the duration of the then-current Interval. Updated or modified prices and terms may apply to subsequent renewals or new Memberships. We will provide reasonable notice of any such changes before they take effect. If you do not wish to renew your Membership under the updated or modified terms, you may cancel your Membership as described above.

By signing up for any class, you acknowledge and affirm that you have read, understood, and agreed to all applicable terms and conditions.

2.1. Classes, memberships, and cancellations
One of the BASH Services is attendance and participation in our boxing classes, including in-person classes in our studio, outdoor classes and events, virtual on-demand classes, and livestreamed classes (“BASH Boxing Classes”). You may participate in BASH Boxing Classes by purchasing (i) an individual class, (ii) a class pack or (iii) a monthly membership.
2.2.1 INDIVIDUAL CLASSES. Individual BASH Boxing Classes are non-refundable and have a 30-day expiration.
2.2.2  CLASS PACK. BASH Boxing Classes may be sold in a pack, non-refundable, and have an expiration date.
2.2.3 MONTHLY MEMBERSHIPS. BASH Boxing monthly memberships are a monthly recurring auto-payment
2.2.4 MONTHLY MEMBERSHIPS WITH ONE-YEAR COMMITMENT. BASH Boxing monthly memberships are a monthly recurring auto-payment with a one-year commitment.
2.2.5  RESERVATIONS. If you are attending your first in-person class, you must be physically present 5 minutes prior to the start of your scheduled class, or your spot will be given to a waitlisted client (no exceptions), and you will be required to reschedule your class. For returning clients, including members, guests, and pack holders, you must be physically present at the start of your scheduled in-person class, or your spot may be given to a waitlisted client, in our sole discretion, and you will be charged a no-show fee.
2.2.6 CLASS CANCELLATIONS. We enforce a strict 12-hour class cancellation policy. If you have reserved your spot in a BASH Boxing Class and fail to cancel at least 12 hours prior, you will be charged for and will forfeit that BASH Boxing Class.
2.2.7 FREEZE POLICY. We offer two freezes per year for a minimum of 30 days and a maximum of 90 days. When you freeze your account, there is a monthly fee associated with it. After your membership has been frozen for 90 days, to maintain it, you must make at least one monthly membership payment before you can freeze it again. Notwithstanding the foregoing, you may not freeze your account more than two times within one year. If you wish to cancel your membership following a freeze, you must provide 30 days’ prior written notice and be responsible for one final monthly membership payment.
If you hold a membership with a one-year commitment and request a freeze, the expiration date of your one-year commitment will be extended by the same period as the approved freeze; the freeze period will be measured from the date the freeze becomes effective, and all other membership terms remain in force during the freeze.
2.2.8 CANCELLATION POLICY. You may terminate your monthly membership by providing us with written notice (at [email protected]), and you will be responsible for one final monthly membership payment. Membership with a one-year commitment cannot be canceled until the agreement is fully completed.
2.2.9 INJURY. You may cancel your monthly membership immediately if you become physically unable to use a substantial portion of the BASH Services for 30 or more consecutive days, and your estate may cancel in the event of your death. You must prove you are unable to use a substantial portion of the BASH Services by a doctor, physician assistant or nurse practitioner’s certificate, and we may also require that you submit a physical examination, within 30 days of the notice of cancellation, by a doctor, physician’s assistant or nurse practitioner agreeable to you and the health club (cost of the exam to be borne by you).
2.3 Fees
You acknowledge that we charge fees for the BASH Services, and we reserve the right to change our fees from time to time at our sole discretion. If we terminate your membership because you have breached these Terms, our Terms and Conditions [https://www.BASH-boxing.com/terms] or our Privacy Policy [https://www.BASH-boxing.com/privacy], you may not be entitled to a refund of any unused portion of membership or other fees.

 

  1. AGE REQUIREMENTS
    You must be at least the age of majority in your state of residence, and fully able and competent to enter into and abide by the terms and conditions of these Terms, in order to access and use the Site and the Services. Individuals under the age of majority are not eligible to use the Site or the Services and may not submit any personal information to us. You acknowledge and agree that your ability to access and/or use certain Services may require a minimum age that is higher than the applicable age of majority. By accessing or using the Site and/or the Services, or by clicking to accept these Terms when this option is made available to you, you represent and warrant that you are at least the age of majority in your state of residence, are legally entitled to enter into these Terms, are legally able to enter into any and all purchase agreements with us and our partners, vendors, agents and service providers, and have the right, authority and capacity to enter into and abide by the terms and conditions of these Terms.

4. STUDIO RULES AND REGULATIONS
Your safety and physical well-being are of primary importance to us. If recovering from injury or illness, notify the instructor prior to class start time. In order to participate in a class, it is mandatory for all participants to use gloves, wraps, and athletic footwear. We reserve the right to refuse entry into a class if you choose not to wear such equipment. You agree that we are in no way responsible for the safekeeping of your personal belongings while you are present in the studio. You assume all risk of loss for any of your personal belongings.

  1. PRIVACY POLICY
    Your personal information and privacy are important to us. Our Privacy Policy governs the processing of all personal data collected from you in connection with your use of the Site and/or the Services. The Privacy Policy and its terms and provisions are hereby incorporated and made a part of these Terms by this reference. You must agree to the Privacy Policy in order to use the Site and/or the Services.
  2. ACCESSIBILITY
    BASH is committed to helping those with disabilities access the Site and/or Services. We strive to provide an excellent online experience for all our guests – including those with sight, hearing and other disabilities. If you have difficulty using or accessing any element of the Site or the Services or if you have any feedback regarding accessibility of the Site or the Services, please feel free to contact us at[email protected].
  3. ACCOUNT ACCESS INFORMATION
    If you are required to create an account to access any portion of the Site and/or the Services, you must treat all account credentials—including, without limitation, your username, password, and any other information used as part of our security procedures—as strictly confidential. You may not disclose such information to any other person or entity. You acknowledge that your account is personal to you and agree that you will not permit any other person or entity to access the Site and/or the Services using your credentials or any other security information associated with your account.
    You agree to notify us immediately of any unauthorized access to or use of your username, password, or any other breach of security. You are solely responsible for all activities conducted under your account, whether or not authorized by you.
    We reserve the right to disable, suspend, or terminate any username, password, or other identifier—whether selected by you or assigned by us—at any time and in our sole discretion, including if we determine that you have violated any provision of these Terms.
  4. MOBILE SERVICES
    Certain Services may be accessible through a mobile device. To the extent you access the Services via a mobile device, your wireless carrier’s standard charges, data rates, and other fees may apply. Your carrier may prohibit or restrict the downloading, installation, or use of certain Services, and not all Services may function with all carriers or devices. You acknowledge that you are solely responsible for any such charges, restrictions, or limitations.
    You agree that BASH Boxing may communicate with you via SMS, MMS, text message, push notification, or other electronic means to your mobile device. By providing your telephone number to BASH Boxing, you consent to receive automated and/or prerecorded marketing calls or text messages (including promotions, discounts, and offers for products or services) from or on behalf of BASH Boxing at the number(s) you provide. Your consent to receive such communications is not a condition of purchasing any products or services. Message frequency may vary, and message and data rates may apply. You may opt out of marketing communications at any time by following the opt‑out instructions included in such messages.

To the extent these Terms include usage rules for any mobile application that are less restrictive than, or otherwise conflict with, the terms of service of the application store from which the application was obtained (“App Store TOS”), the more restrictive or conflicting provisions of the applicable App Store TOS shall govern and control.

9. RESTRICTIONS ON USE
Personal Use Only: You may use the Site, the Services, and all associated content solely for your personal, non‑commercial use. The Site, the Services, or any portion thereof may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express written consent.
Accuracy of Information: Access to certain portions of the Site or the Services may require you to provide information, including personal information. As a condition of your use of the Site and the Services, you agree that all information you provide will be accurate, current, and complete.
Prohibited Conduct: When accessing or using the Site or the Services, you agree that you will not:

  • Transmit any content that constitutes, encourages, or incites conduct that would constitute a criminal offense or give rise to civil liability.
  • Use any device, software, or routine to interfere with or disrupt the proper functioning of the Site
  • Transmit or solicit any information, software, or material that infringes or violates the rights of others, including privacy rights, publicity rights, copyrights, trademarks, or other proprietary rights, or that constitutes a derivative work without proper authorization.
  • Transmit any information, software, or material that contains a virus, Trojan horse, worm, time bomb, or other harmful or malicious code.
  • Use any software, tool, data, device, or mechanism to navigate or search the Site other than generally available browsers or search tools provided by us.
  • Use spiders, robots, data‑mining tools, scraping tools, or other automated devices to catalog, download, reproduce, store, or distribute any content available on the Site.
  • Frame or use framing techniques to enclose any portion of the Site, including any trademark, logo, image, text, page layout, or form, without our express written consent.
  • Use any metatags or other “hidden text” utilizing our name, trademarks, or proprietary information without our express written consent.
  • Violate or attempt to violate any security features of the Site, including actions that may subject you to civil or criminal liability.
  • Circumvent, disable, or otherwise interfere with security‑related features that prevent or restrict the use or copying of content or that enforce limitations on the use of the Site or the Services.
  • Access data or content not intended for you, or log into a server or account that you are not authorized to access.
  • Probe, scan, or test the vulnerability of the Site or any associated system or network, or breach any security or authentication measures without proper authorization.
  • Interfere or attempt to interfere with the use of the Site by any visitor, host, or network, including by submitting malware, overloading, flooding, spamming, mail‑bombing, or crashing the Site.
  • Use the Site to send unsolicited emails, promotions, advertisements, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or other forms of solicitation.
  • Forge any TCP/IP packet header or any part of the header information in any email or posting.
  • Attempt to modify, reverse‑engineer, decompile, disassemble, or otherwise reduce to human‑readable form any of the source code used to provide the Site or the Services.

10, USER COVENANTS
By accessing or using the Site and/or the Services, you agree to, acknowledge, and represent as follows:
You will comply with all applicable federal, state, or local laws, rules, and regulations in using the Site and/or the Services, and you will not perform or fail to perform any act that you know or reasonably should know would place us or our affiliates in violation of any applicable law, rule, or regulation. You have the authority and capacity, under the laws of the state or jurisdiction in which you reside, to make the representations and warranties and be bound by the covenants provided herein.

11. APPEARANCE RELEASE
We might live-stream and record our classes so that people can join them from around the world! Certain BASH Boxing Classes will be filmed, and the recordings will be stored and available for viewing.
You agree that by participating in a BASH Boxing Class and for other good and valuable consideration, the receipt and sufficiency of which you hereby acknowledge, you grant to BASH Boxing, and their affiliates, successors, licensees, agents, and assigns (“Authorized Parties”) the right, to film, record, live stream, edit, playback, digitize, modify, edit, create derivative works, display, publicly perform, transmit, broadcast, reproduce, sell, rent, license, otherwise use, and permit others to use recordings of classes that you participate in (“Recordings”) and your appearance, voice, name, and/or likeness (the “Materials”), in perpetuity throughout the universe and in any medium or format whatsoever now existing or hereafter created on any platform without further consent from or any royalty, payment, or other compensation to you.
You agree that BASH Boxing will be the exclusive owner of all rights, titles, and interests in and to the Recordings and the Materials, including all copyrights and other intellectual property rights therein, in perpetuity. You irrevocably waive any and all claims you may now or hereafter have in any jurisdiction to “moral rights” in the Recordings (and any portion thereof) and the Materials. BASH Boxing has no obligation to use the Recordings (or any portions thereof) or the Materials. You acknowledge and agree that you have no right to review or approve the Recordings or use of the Materials before they are used by BASH Boxing or at any other time, and that BASH Boxing has no liability to you for any editing or alteration of the Recordings, the Materials or for any distortion or other effects resulting from Forte’s or BASH Boxing’s editing, alteration, or use of the Recordings or Materials.
To the fullest extent permitted by applicable law, you hereby irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expenses, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy, violation of rights of publicity, physical or emotional injury or distress, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world (collectively, “Claims”) arising directly or indirectly from any Authorized Party’s exercise of their rights under this Agreement.
The release in this Section of the Terms of Use provides BASH Boxing with your absolute and unconditional consent, waiver, and release of liability, allowing BASH Boxing to publicize and commercially exploit your name, image, and likeness as set out above.
You hereby grant permission to BASH to take, use, reuse, and publish my likeness (photographic, video-form, or otherwise) and voice for the purposes of public service announcements, publicity, promotion, or any other use by the business in any and all forms, media, and manners, including but not limited to, news releases, websites, social media, photographs, video, and marketing for an indefinite period. You understand and agree that these images and voice recordings may be used for multiple purposes, as outlined above, without further notification. You further agree that you do not have any right to inspect or approve of the finished photographic, video, or audio-recorded products. You acknowledge that no compensation, fee, or royalty will be paid for the above-mentioned uses of my likeness or voice and that BASH owns all rights to the images, videos, recordings, and all derivative works created therefrom. This permission is granted perpetually and applies worldwide, without requiring further approval or compensation.

  1. COPYRIGHTS, TRADEMARKS, AND OTHER PROPRIETARY RIGHTS
    When accessing and using the Site and/or the Services, you agree to obey all applicable laws and to respect the intellectual property rights of others. You agree that you shall be solely responsible for any violations of any relevant laws and for any infringement of third-party rights caused by any User Content (as defined below) that you provide or transmit to us.
    As between you and us, all content on the Site and the Services, including text, hidden text within our source code, trademarks, software, photos, video, images, graphics, music, audio-visual content, podcasts, recordings, sound or any other digital media, is owned by us and/or our licensors and is subject to protection by patent, copyright, trademark or other intellectual property or proprietary rights. In addition, the entire content of the Site is copyrighted as a collective work under the United States copyright laws, and we own the copyright in the selection, coordination, arrangement and enhancement of such content. Any feedback, suggestions or ideas you provide to us relating to the Site and/or the Services shall be deemed to be non-confidential and we shall be free to use such feedback, suggestions or ideas on a royalty-free, perpetual, irrevocable, worldwide, transferable, unrestricted basis.
    All trademarks, trade names, trade dress, logos and service marks (collectively, the “Trademarks”) appearing on the Site and/or the Services are the property of their respective owners, including, in some instances, us and/or our partner companies. Nothing contained on the Site, the Services or these Terms serves to grant you, by implication or otherwise, a license or right to use any of the Trademarks or copyrights owned by us or by any third party.
    Except as expressly provided herein, you may not use, modify, create derivative works of, copy, redistribute, reproduce, publish, transmit, display, commercialize, or in any other way exploit any content or material from the Site or the Services without express written permission from us and, if applicable, the respective copyright owner. You acknowledge and agree that you do not acquire any ownership rights by accessing or using the Site and/or the Services.

    13. USER CONTENT
    You are, and shall remain, solely responsible for all content, materials, and communications you submit, upload, post, transmit, or otherwise provide to us through the Site, the Services, email, the Internet, or any other means, including without limitation: photographs, videos, artwork, logos, service marks, trademarks, text, ideas, notes, drawings, graphics, messages, concepts, reviews, and any other materials (“User Content”). This includes any photos, videos, or other content you share publicly on social media platforms relating to your experiences with BASH Boxing (“User Generated Social Media Content”).
    By tagging, mentioning, or otherwise associating BASH Boxing with your User Generated Social Media Content, you grant BASH Boxing permission to use, share, repost, or otherwise engage with such content.
    You hereby grant to BASH Boxing and its affiliates a royalty‑free, perpetual, irrevocable, worldwide, transferable, non‑exclusive license to use, reproduce, modify, adapt, publish, share, repost, translate, create derivative works from, and display any User Content, without payment or additional consideration to you, for the following purposes: Operating and maintaining the Site; Providing the Services; and Conducting and promoting BASH Boxing’s business, including advertising, marketing, and publicity, in any form or medium now known or later developed.
    By granting us permission to use your User Generated Social Media Content, you also authorize BASH Boxing to use your name, likeness, image, and/or social media handle in connection with such content for identification, promotional, and marketing purposes. While we generally attempt to credit original creators, attribution is not guaranteed. To the fullest extent permitted by law, you waive any moral rights you may have in your User Content. You further release BASH Boxing and its owners, officers, employees, agents, affiliates, successors, and assigns (“BASH Boxing Parties”) from any and all claims, demands, actions, or liabilities arising out of or relating to your User Content or our use or non‑use of such content, including claims for defamation, invasion of privacy, right of publicity, emotional distress, or economic loss.
    You represent and warrant that:
    . You own or otherwise possess all rights necessary to license the User Content to us;

    BASH Boxing reserves the right, but not the obligation, to remove any User Content that violates these Terms or that we deem objectionable in our sole discretion. You acknowledge that we may preserve and disclose User Content if required by law or if we reasonably believe such action is necessary to: (A) comply with legal process; (B) enforce these Terms; (C) respond to claims that User Content violates third‑party rights; or (D) protect the rights, property, or safety of BASH Boxing, its users, or the public.
    You are responsible for maintaining copies of your User Content. We do not guarantee that any User Content uploaded to the Site or Services will remain available, and we disclaim all liability for any loss of User Content.

    You agree to indemnify, defend, and hold harmless BASH Boxing, and the BASH Boxing Parties from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your breach of these Terms; (b) your use of the Site or the Services; (c) your interactions or disputes with other users; (d) your violation of any third‑party rights; (e) any User Content you submit; or (f) your violation of applicable law. This indemnification obligation survives termination of your account and your use of the Site and the Services. BASH Boxing reserves the right, at its option and expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you; you agree not to settle any such matter without BASH Boxing’s prior written consent.

    21. FORCE MAJEURE
    BASH Boxing shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, explosion, governmental action, changes in law, war, terrorism, riot, epidemic or pandemic, labor disputes, cyberattacks, denial‑of‑service attacks, carrier delays, shortages of materials, telecommunications failures, or power outages. In the event of a force majeure event, BASH Boxing’s performance will be excused for the duration of the event and any reasonable recovery period.

    22. CONSENT TO ELECTRONIC COMMUNICATIONS; NOTICES
    You consent to receive communications from BASH Boxing electronically, including via email, text message, push notification, or postings on the Site. Electronic communications satisfy any legal requirement that such communications be in writing. BASH Boxing may send notices, responses, or other communications by email, by posting on the Site, or by U.S. mail. It is your responsibility to maintain accurate contact information and to monitor the email account and phone number you provide.

    23. GOVERNING LAW
    These Terms and your use of the Site and the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict‑of‑law principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Virginia, except as otherwise provided in Section 24 regarding arbitration and injunctive relief.

    24. DISPUTE RESOLUTION; ARBITRATION
    PLEASE READ CAREFULLY. THIS SECTION REQUIRES YOU TO ARBITRATE DISPUTES WITH BASH BOXING AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.
    Time to File Claims. Any claim or cause of action you may have arising out of or relating to these Terms, the Site, or the Services must be commenced within one (1) year after the claim or cause of action arises; otherwise, it is permanently barred.
    Arbitration Agreement. Except for claims for injunctive or other equitable relief as set forth below, you and BASH Boxing agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single neutral arbitrator. The arbitration will be held in Arlington, Virginia, unless the parties agree otherwise. The arbitrator shall apply Virginia law and shall have authority to award any relief that a court of competent jurisdiction could award, subject to the limitations in these Terms.
    Pre‑Arbitration Notice and Informal Resolution. Before initiating arbitration, the party seeking relief must send a written notice describing the claim and the relief sought to the other party by certified mail to BASH Boxing at 1550 Wilson Blvd, Suite 102, Arlington, VA, 22209 (Attn: Legal). If the parties do not resolve the dispute within thirty (30) days after receipt of the notice, the claimant may commence arbitration.
    Costs and Fees. The arbitrator may allocate fees and costs in accordance with the AAA rules and applicable law. Each party shall bear its own attorneys’ fees and costs unless the arbitrator determines otherwise.
    Finality and Enforcement. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Arbitration proceedings and all materials submitted in arbitration shall be confidential, except as required by law.
    Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BASH BOXING AGREE THAT ALL DISPUTES WILL BE ARBITRATED ON AN INDIVIDUAL BASIS ONLY. YOU AND BASH BOXING WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS BY OR AGAINST OTHER PERSONS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. CHALLENGES TO THE ENFORCEABILITY OF THIS CLASS ACTION WAIVER MAY BE BROUGHT ONLY IN A COURT OF COMPETENT JURISDICTION.
    Equitable Relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

25. MISCELLANEOUS
Interpretation and Severability. Section headings are for convenience only and do not affect interpretation. If any provision of these Terms is held invalid or unenforceable, that provision will be deemed severed to the minimum extent necessary and the remaining provisions will remain in full force and effect.
No Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment. BASH Boxing may assign its rights and obligations under these Terms without notice or consent. You may not assign or delegate any rights or obligations under these Terms without BASH Boxing’s prior written consent; any attempted assignment without consent is void.
Third‑Party Beneficiaries. Except as expressly provided herein, these Terms do not create any third-party beneficiary rights.
Survival. Provisions that by their nature should survive termination of these Terms (including Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.
Entire Agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference, constitute the entire agreement between you and BASH Boxing regarding the Site and the Services and supersede all prior agreements.

26. U.S. USE ONLY
The Site, content, services, products, and promotions are intended to comply with U.S. federal and state laws. BASH Boxing makes no representation that materials on the Site are appropriate or available for use outside the United States. If you access the Site from outside the U.S., you do so at your own risk and are responsible for compliance with local laws. Some jurisdictions do not permit certain disclaimers or limitations contained in these Terms; if local law applies, those provisions may not apply to you.

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. We reserve the right to amend these Terms at any time and without notice, and it is your responsibility to review these Terms for any changes. Your use of the BASH Services following any amendment of these Terms will signify your assent to and acceptance of its revised terms. This Agreement (and any further rules, policies, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of the Commonwealth of Virginia without giving effect to any principles of conflicts of law.

    We may amend or modify these Terms at any time. We will email you, add information to the studio, or post a notification on the Site in the event of any material changes to these Terms. Such changes, whether in the form of modifications, additions, or deletions, shall be effective when specified in the relevant notification or, if the change is immaterial, immediately. Please check these Terms periodically for changes. Your continued use of the Site and/or the Services following our posting of any changes to these Terms means that you accept and agree to those changes.
